BYLAWS OF THE CEDAR COUNTY THEATRE (Amended June, 2004)
Section 1: Organization Name The name of the organization shall be CEDAR COUNTY THEATRE. Section 2: Organization Objective The Cedar County Theatre is a non-profit organization whose purpose is to enrich, educate and entertain our community by providing opportunities to participate in and enjoy all facets of community theater.
ARTICLE 2—MEMBERSHIP Section 1: Membership Classes There shall be the following classes of annual membership: Active, Junior, and Benefactor; other classes of membership may be added by the Board of Directors at its discretion. Section 2: Active Member Active members shall be those persons who are 17 years of age and older and who participate in Cedar County Theatre activities. Section 2a: Privileges of Active Members Active members shall have the right to vote, attend meetings, serve on committees, and shall be entitled to receive mailings. An Active Member participating in a theater production shall be given two complimentary tickets to that production. Additional privileges may be granted by a two-thirds vote of the Board of Directors or by a majority vote of the membership at the annual meeting. Section 3: Junior members shall be those persons who are 16 years of age and younger and who participate in Cedar County Theatre activities. Section 3a: Privileges of Junior Members Junior members do not have the right to vote, but shall be entitled to attend all meetings and may serve on committees. Junior members shall be entitled to receive mailings. A Junior member participating in a theater production shall be given two complimentary tickets to that production. Additional privileges may be granted by a two-thirds vote of the Board of Directors or by a majority vote of the membership at the Annual Meeting Section 4: Benefactors Benefactors are any persons, institutions, or businesses who are committed to the mission of the organization and have paid the minimum annual contribution levels. Section 4a: Privileges of Benefactors Benefactors have all the privileges of active members and receive recognition in any production’s program produced by the organization for the length of time prescribed by the contribution. A Benefactor shall be given two complimentary season passes for the fiscal year in which the donation was made. Additional privileges may be granted by a two-thirds vote of the Board of Directors or by a majority vote of the membership at the annual meeting. Section 4b: Contribution Levels The following are contribution levels for benefactors: $50--Understudies $100--Chorus Line $250--Featured Player $500--Costar $1000--Star $5000—Legend The Board of Directors may change the contribution levels at their prerogative.
ARTICLE 3--FINANCES Section 1: Fiscal Year The fiscal year of the Cedar County Theatre is July 1 – June 30. Section 2: Budget The production staff submits proposed budgets for a show to the Board of Directors for review, revisions if necessary, and approval.
ARTICLE 4—MEETINGS Section 1: Annual Meeting The annual meeting shall be held on the fourth Monday of June. Elections by simple majority for any vacant seats on the Board of Directors will be held at this meeting. Notice of and agenda for the meeting shall be sent to all members of the organization from the preceding year not more than fifteen (15) or less than seven (7) days preceding the meeting. In addition, such other business as the Board of Directors deems to be appropriate shall be brought before the meeting. Section 2: Board of Directors Meetings The Board of Directors’ monthly meeting day and time shall be determined at the Annual Meeting and the Board shall meet accordingly throughout the year unless changed at the prerogative of the Board. Official notice of meetings not held on the regularly scheduled day and time will appear in the Shopper at least one (1) week prior to the Board of Directors meeting. All Board of Directors meetings are open to the general membership. Three (3) consecutive absences from a monthly board meeting by a board member may constitute removal from the board by majority vote of the board. The President or any three members of the Board of Directors may call additional meetings of the Board of Directors. No less than seven days notice of any additional meeting will be given to each Director. Section 3: Special Meetings The board may call special meetings of the general membership. Written notices of any special meeting stating the date, hour, and place of the meeting, as well as the agenda, shall be sent to all members of the organization at least ten (10) days prior to such a meeting and in the manner and form as the President shall determine. Section 4: Rules of Procedure All meetings of the Cedar County Theatre will be conducted using the Consensus Model of meeting management. Section 5: Quorum A majority of Board Members present at any official meeting of the Board of Directors of the Cedar County Theatre is needed to amend the By-Laws and for all other activities requiring a decision for action by vote. Board Members not present at any official meeting shall be considered as voluntarily waiving their appearance and right to vote unless executing and submitting their vote to the Board prior to said meeting in writing before a general notary.
ARTICLE 5--BOARD OF DIRECTORS AND OFFICERS Section 1: Officers The Board of Directors shall consist of eight (8) active members who shall hold the following offices:
Each member is elected for a two (2) year term by the general membership, except for the Junior Membership Representative, who is appointed for a one-year term. Each member of the Board shall hold an office. Four of the Directors will be elected each even-numbered year and three Directors shall be elected each odd-numbered year. In even-numbered years, the President, Secretary, Member-at-Large, and Promotions Chair shall be elected. The Vice President, Treasurer, and Production Chair will be elected in odd-numbered years. Section 1a: Eligibility for Board Membership Candidates for Board membership must be members in good standing for at least six (6) months. Section 2: Duty of the Board The Board of Directors shall direct the policies and administer the affairs of the association between the annual meetings of the Cedar County Theatre except as otherwise provided in the Constitution and By-Laws. Section 3: Duties of the Officers The duties of the officers shall be as follows: President:

Section 4: The President, Vice-President, Secretary, and Treasurer of the Board of Directors will be the President, Vice-President, Secretary, and Treasurer of the Cedar County Theatre.
ARTICLE 6 --ELECTION OF OFFICERS Section 1: Regular Elections The general membership shall elect members of the Board of Directors at its annual meeting, as described in Article 4, Section 1. Nominations will be taken from the floor. Voting will be cast be secret ballot. Section 2: Board Vacancies In the event of a vacancy on the Board of Directors, the President will select a member to finish the term subject to approval from the Board of Directors.
ARTICLE 7—PRODUCTIONS Section 1: Selection of Productions The Board of Directors and general membership shall make selection of theatre productions. A committee, whose responsibility it is to choose scripts/plays, will present for discussion and vote at least two possible choices. Those present shall vote upon those choices. The Board shall determine the schedule of productions and events. Section 2: Selection of Director The Board of Directors will be responsible for selecting the Director(s) for each production. The Director will select his/her own production staff with approval by the Board of Directors. Section 3: Director’s Authority The appointed Director is in charge of the current production. A majority vote of the Board of Directors shall limit the Director’s authority only in the field of finance and major policy decisions. Approval by the Board of Directors is required for the Director to have a speaking role or a vocal solo in a production. Section 4: Director’s Dismissal During the preparation for a production, the Board of Directors shall have the authority to replace a Director whom the Board, in it’s sole discretion, deems to be providing inadequate service, thus jeopardizing the success of that production and/or the reputation of the Cedar County Theatre.
ARTICLE 8--AMENDMENT OF BYLAWS Section 1: Bylaws Amendments Amendment may be proposed by any active member, but shall be submitted to the Board of Directors for approval. Said amendments shall be approved with a two-thirds vote of the Board of Directors.
ARTICLE 9—DISSOLUTION Section 1 This corporation can be dissolve by a two-thirds vote of the active membership at any annual or special meeting of the organization called for this purpose. Section 2 Any remaining funds shall be divested to another non-profit organization as determined by the Board of Directors. Passed and adopted this ___________day of June, 2004.
